Terms for using Spanwhale Commerce Hub.

1. The service

Spanwhale Commerce Hub is marketplace operations software for independent selling partners and their authorized users. Available features may include product and listing workflows, inventory and order-status monitoring, pricing, reports, and separately authorized advertising operations. Features available to a user depend on the selected plan, approved integrations, and permissions granted by the selling partner.

2. Eligibility and accounts

A user must be legally authorized to act for the selling partner or organization that opens an account. Users must provide accurate business information, protect their service login credentials, and promptly notify us of suspected unauthorized access. An account administrator is responsible for managing the users and permissions within its workspace.

3. Amazon authorization

A selling partner must grant access through the applicable Login with Amazon OAuth workflow before the service can process Amazon account information. We do not request Seller Central passwords. The selling partner controls authorization and may revoke access through Amazon. Revocation may cause connected features to stop working.

4. Permitted use

Users may use the service only for lawful marketplace operations involving accounts they own or are authorized to manage. Users must not attempt unauthorized access, bypass access controls, introduce malicious code, interfere with service operation, scrape the service, disclose another seller's data, resell access without written approval, or use Amazon information outside the purposes authorized by the relevant selling partner.

5. Seller responsibilities

Each selling partner remains responsible for its products, listings, prices, inventory, orders, advertising decisions, regulatory obligations, Amazon account, and compliance with applicable Amazon policies. The service provides operational tools and does not guarantee sales, rankings, advertising performance, account status, or marketplace availability.

6. Pricing and payment

Commercial access is offered on a quote-based subscription determined by connected selling partner accounts, enabled modules, and support requirements. Applicable fees, billing periods, taxes, renewal terms, and cancellation conditions will be stated in an accepted order form or subscription confirmation before charges begin. Pilot access may be offered separately by invitation.

7. Third-party services

The service may connect to Amazon services and other approved third-party infrastructure. Those services are governed by their own terms and may change or become unavailable. We are not authorized to make commitments on behalf of Amazon, and use of Spanwhale Commerce Hub does not create an agency, partnership, endorsement, or employment relationship with Amazon.

8. Data protection

Our handling of website, account, and Amazon information is described in our Privacy Policy. Users must not upload restricted, unlawful, or unnecessary personal information to the service. Each organization is responsible for granting appropriate access to its authorized users.

9. Intellectual property

Spanwhale Commerce Hub, the website, software, documentation, branding, and related content are owned by or licensed to Guangzhou Youyan Technology Co., Ltd. Users retain ownership of their business information. Subject to these terms and applicable fees, we grant users a limited, non-exclusive, non-transferable right to use the service for authorized business purposes.

10. Availability and changes

We may maintain, update, or modify the service to improve security, reliability, compliance, or functionality. We aim to provide reliable access but do not promise uninterrupted or error-free operation. Beta and pilot features may change before general release.

11. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security risk, unauthorized use, legal requirements, or violations of applicable platform policies. Users may request account closure through support. Following termination, data is handled under the retention and deletion provisions in our Privacy Policy.

12. Disclaimers and liability

To the extent permitted by applicable law, the service is provided without warranties not expressly stated in an accepted written agreement. Neither party is liable for indirect, incidental, special, or consequential losses where such exclusions are legally permitted. Any additional service levels or liability terms will be stated in the applicable written order form.

13. Changes to these terms

We may update these terms to reflect changes in the service, law, security requirements, or platform obligations. The latest version and effective date will be posted on this page.
